Effective date: October 6, 2026
These Terms of Service (the "Terms") are an agreement between J&T Solutions Inc., a Delaware corporation doing business as GTM ("GTM" or "TryGTM", "we", "us" or "our"), and the organization that accepts them ("Customer" or "you"). They govern access to and use of the GTM platform, the websites at trygtm.com and its subdomains, and related services.
PLEASE READ SECTION 25 CAREFULLY. IT REQUIRES INDIVIDUAL BINDING ARBITRATION OF MOST DISPUTES AND WAIVES CLASS ACTIONS AND JURY TRIALS.
PLEASE ALSO READ SECTION 18 CAREFULLY. THE SERVICES BEGIN METERED WORK, AND GTM INCURS THIRD-PARTY COSTS, IMMEDIATELY AFTER YOU PAY. FEES AND CREDITS ARE NON-REFUNDABLE. BY PAYING YOU WAIVE ANY RIGHT TO CANCEL FOR A REFUND AND AGREE NOT TO DISPUTE PROPERLY BILLED CHARGES WITH YOUR CARD ISSUER.
1. Acceptance of these Terms
1.1 How you accept. You accept these Terms when you click a button or check a box that references them, complete a checkout that references them, sign an Order that references them, or access or use the Services. If you do not agree, do not use the Services. GTM keeps a record of each acceptance, including the account, the date, the network address and the version accepted, and Customer agrees that this record is evidence of acceptance.
1.2 Enterprise agreements. If Customer and GTM have signed a Master Services Agreement or other written agreement that covers the Services, that agreement governs instead of these Terms, except to the extent it expressly incorporates these Terms.
1.3 Related policies. The following form part of these Terms:
(a) the Acceptable Use Policy (the "AUP");
(b) the AI & Automation Addendum (the "AI Addendum");
(c) the Data Processing Addendum (the "DPA"), which applies automatically where GTM processes Customer Personal Data subject to Data Protection Laws;
(d) the SMS Terms, which govern the text messages GTM sends from its own phone numbers; and
(e) any Order.
The Privacy Policy, Cookie Policy and Subprocessors page describe our practices. They are provided for information and are not contractual commitments except where the DPA says otherwise.
2. Definitions
"Affiliate" means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of more than 50% of the voting interests.
"AI Features" means features of the Services that use machine learning, large language models or similar technology to generate, classify, score, summarize, recommend or act on content.
"Authorized User" means an employee, contractor or agent of Customer (or, for Agency Customers, of a Client) whom Customer permits to use the Services under Customer's account.
"Automated Action" means any action the Services take without a person approving that specific action at the time, based on Customer's configuration. Examples include sourcing prospects, sending messages, sending connection requests, replying, following up, booking meetings, and creating or updating records in Connected Accounts.
"Client" and "Client Workspace" have the meanings in Section 6.
"Connected Account" means an account, domain, mailbox, phone number, profile or system of Customer or a third party that Customer connects to the Services, such as sending domains, email mailboxes, LinkedIn accounts, calendars, CRM systems and phone numbers.
"Credits" means units of usage, such as data credits and action credits, that the Services consume when Customer uses metered features.
"Customer Data" means data and content that Customer or its Authorized Users submit to the Services, or that the Services collect from Connected Accounts on Customer's behalf. It includes Customer Personal Data and Outputs. It does not include GTM Prospect Data or Usage Data.
"Customer Personal Data" means personal data or personal information within Customer Data.
"Data Protection Laws" means all laws on privacy, data protection, data security and electronic marketing that apply to a party's processing of personal data under these Terms.
"Documentation" means GTM's then-current user guides and help content at docs.trygtm.com.
"GTM Prospect Data" means information about businesses and business professionals that GTM obtains from licensed data providers, public sources or its own processing and makes available through the Services, such as names, job titles, employers, professional profile URLs, business contact details, firmographics and intent signals.
"GTM Technology" means the Services, Documentation, GTM Prospect Data, AI Features, models, prompts, workflows, scoring logic, templates provided by GTM, software, and all improvements and derivatives of them. It excludes Customer Data.
"Order" means an online checkout, plan selection, in-product purchase or signed order form under which Customer buys a subscription, Credits or add-ons.
"Outputs" means content that AI Features generate for Customer, such as messages, ideal customer profiles, research summaries, scores and classifications.
"Services" means GTM's hosted software platform, APIs, AI Features, and related support that GTM provides to Customer under an Order.
"Subscription Term" means the period stated in the Order, and each renewal period.
"Third-Party Services" means products, services, platforms, data, models and networks not provided by GTM, such as LinkedIn, Google, Microsoft, email providers, CRMs, calendars, telecommunications carriers, AI model providers and data providers.
"Usage Data" means data about how the Services are accessed, used and perform, such as logs, metrics, event records, Credit ledgers and configuration metadata. When GTM uses Usage Data outside Customer's account, it does not identify Customer or any individual.
3. Eligibility and authority
3.1 Business use only. The Services are for business use. You may not use them as a consumer or for personal, family or household purposes.
3.2 Authority. The individual accepting these Terms represents that they are at least 18 years old and have authority to bind Customer. If they lack that authority, they are personally bound and must not use the Services.
3.3 Restricted parties. Customer represents that neither it nor any Authorized User is located in, organized under the laws of, or owned or controlled by a person in a country or region subject to comprehensive US sanctions, and is not on a US or other applicable restricted-party list.
3.4 Commercial transaction. Every purchase under these Terms is a business-to-business transaction. Consumer protection laws that give consumers cooling-off periods, withdrawal rights or refund rights do not apply to Customer, and to the extent any such law would otherwise apply, Customer waives those rights to the fullest extent the law permits.
4. Accounts and account security
4.1 Registration. Customer must give accurate, complete and current account and billing information and keep it updated.
4.2 Credentials. Customer is responsible for keeping credentials confidential and for all activity under its account, including activity through API keys, access tokens and Connected Accounts. Credentials are for one individual and may not be shared.
4.3 Notice of compromise. Customer must notify GTM at support@trygtm.com without undue delay after learning of any unauthorized access to its account or Connected Accounts.
4.4 Customer security responsibilities. Customer is responsible for:
(a) securing its own devices, networks and Connected Accounts;
(b) configuring user roles and permissions;
(c) using the security features the Services make available;
(d) promptly removing access for people who should no longer have it; and
(e) reviewing activity in its account.
5. Authorized Users and administrators
5.1 Authorized Users. Customer may permit Authorized Users to use the Services within the seat and other limits in its Order. Customer is responsible for Authorized Users' compliance with these Terms and for their acts and omissions as if they were its own.
5.2 Administrators. Customer may designate one or more administrators. Administrators can add and remove users, change settings, connect and disconnect accounts, configure automation, buy Credits and add-ons, export and delete data, and close the account. GTM may rely on instructions from any administrator and from anyone who controls the account owner's email address.
6. Agencies and Client Workspaces
6.1 Client Workspaces. Some plans let Customer create separate workspaces ("Client Workspaces") to run the Services for Customer's own clients ("Clients"). A Customer that does this is an "Agency Customer".
6.2 Agency responsibility. An Agency Customer:
(a) remains GTM's only customer and is responsible for all fees;
(b) is responsible for all use of the Services in its Client Workspaces as if the use were its own;
(c) must have written agreements with each Client that are at least as protective of GTM as these Terms, the AUP and the AI Addendum, and that authorize the Agency Customer to process the Client's data through the Services; and
(d) must ensure each Client authorizes the connection of its Connected Accounts and the sending of messages in its name.
6.3 No Client rights. Clients are not parties to or third-party beneficiaries of these Terms. GTM has no support, warranty or other obligation to Clients. The Agency Customer handles all Client requests and claims.
6.4 White label. If the Services display the Agency Customer's branding, the Agency Customer is responsible for its branding and must not represent that it built or owns the GTM Technology. GTM may still identify itself where required by law, a Third-Party Service or a carrier, including in email headers, unsubscribe pages and registration filings.
6.5 Workspace separation. Customer must not configure the Services to use one Client's data, Connected Accounts or suppression lists for another Client except as the Services expressly allow and applicable law permits.
7. Right to access and use the Services
7.1 Access right. Subject to these Terms and payment of fees, GTM grants Customer a non-exclusive, non-transferable, non-sublicensable right during the Subscription Term to access and use the Services, and to use the Documentation, for Customer's internal business purposes (and, for Agency Customers, to provide services to Clients under Section 6), within the limits of the Order.
7.2 GTM Prospect Data. Customer may use GTM Prospect Data made available to it only (a) within the Services, (b) to identify, research and contact prospective business customers for Customer's own products and services (or its Clients' products and services), and (c) in its own CRM for those purposes, in each case in compliance with law and the AUP. Customer may not resell, license, publish or give GTM Prospect Data to third parties, use it to build or improve a database, list or data product offered to others, or use it for any purpose prohibited by Section 8 or the AUP. Section 21.4 governs GTM Prospect Data after termination.
7.3 Reservation. GTM reserves all rights not expressly granted. No implied licences arise.
8. Restrictions on use
Customer will not, and will not permit anyone to:
(a) use the Services in breach of law, these Terms, the AUP or the AI Addendum;
(b) copy, modify, translate or create derivative works of the GTM Technology;
(c) reverse engineer, decompile, disassemble or try to discover source code, model weights, prompts, system instructions, scoring logic or non-public APIs, except to the extent law expressly permits this despite a contractual restriction;
(d) sell, resell, rent, lease, sublicense, time-share or provide the Services to third parties except as Section 6 permits;
(e) access the Services to build, train, benchmark or improve a competing product or service, or to copy features, content or design;
(f) scrape, crawl, harvest or bulk-extract GTM Prospect Data or other content from the Services outside the export features GTM provides;
(g) circumvent usage limits, Credit metering, sending limits, suppression checks, compliance checks, security measures or access controls;
(h) interfere with or disrupt the integrity, performance or security of the Services or any third-party data or system;
(i) probe, scan or test the vulnerability of the Services without GTM's prior written consent;
(j) upload or transmit malware or harmful code;
(k) remove or alter any proprietary notice, unsubscribe mechanism, sender identification or required disclosure;
(l) use the Services to process special categories of personal data, protected health information, payment card data, government identifiers, precise geolocation, children's data or other sensitive data, except as expressly permitted in the Documentation or an Order; or
(m) use the Services to make decisions that produce legal or similarly significant effects on individuals, including decisions about employment, credit, insurance, housing, education or access to essential services.
9. Customer responsibilities
9.1 Customer is the sender and decision maker. Customer controls whether and how the Services are used, including who is targeted, what is said, which channels are used, which Connected Accounts are connected, the sending volume and schedule, and whether campaigns run automatically or require review. Every message sent through the Services is sent by or on behalf of Customer (or its Client), in Customer's (or its Client's) name, and for Customer's (or its Client's) commercial purposes. As between the parties, Customer is the sender and the party responsible for the content and transmission of those messages under Communications Laws.
9.2 Compliance. Customer is solely responsible for ensuring that its use of the Services, Customer Data, GTM Prospect Data (as used by Customer), Outputs and all messages and Automated Actions comply with all applicable laws, rules and third-party terms, including:
(a) anti-spam and electronic-marketing laws, such as the US CAN-SPAM Act, Canada's Anti-Spam Legislation (CASL), the EU ePrivacy Directive and its national implementations, and the UK Privacy and Electronic Communications Regulations;
(b) telemarketing and text-messaging laws, such as the US Telephone Consumer Protection Act (TCPA), the FCC's rules, the Telemarketing Sales Rule, state telemarketing laws, and do-not-call rules;
(c) Data Protection Laws, such as the GDPR, the UK GDPR, the California Consumer Privacy Act (CCPA) and other US state privacy laws;
(d) consumer-protection and unfair-practices laws, including laws on deceptive advertising and on disclosure of automated or AI-generated communications; and
(e) the terms, policies and rate limits of every Third-Party Service Customer uses with the Services, including LinkedIn's User Agreement and Professional Community Policies, Google and Microsoft terms, email and mailbox provider policies, carrier and messaging-industry rules (such as CTIA guidelines and toll-free and 10DLC registration requirements), and CRM and calendar terms
(together, "Communications Laws").
9.3 Lawful basis and notices. Customer is responsible for:
(a) having and documenting any lawful basis, consent, notice or legitimate-interests assessment that Communications Laws require for its outreach and for its use of Customer Personal Data and GTM Prospect Data;
(b) giving any notice to individuals that the law requires of Customer;
(c) honoring opt-outs, objections and data subject requests that Customer receives; and
(d) maintaining its own do-not-contact lists outside the Services where the law requires.
9.4 Accurate identity. Customer must identify itself (or its Client) accurately in all messages, must not impersonate any person, and must use only sending domains, mailboxes, profiles and numbers that it owns or is authorized to use.
9.5 Customer Data. Customer represents and warrants that it has all rights, consents and notices needed to submit Customer Data to the Services, to connect each Connected Account, and to allow GTM and its subprocessors to process Customer Data as these Terms describe, and that doing so will not violate any law, third-party right or third-party terms. Customer is responsible for the accuracy, quality and legality of Customer Data and of any lead lists it uploads, including their source.
9.6 Configuration and review. Customer is responsible for configuring the Services, including ideal customer profile criteria, targeting filters, message tone and claims, sending limits, ramp settings, time windows, channel choices, CRM field mappings and automation modes, and for reviewing previews, samples, Outputs and activity.
9.7 GTM safeguards are not Customer compliance. The Services include safeguards such as suppression checks, opt-out detection, sending limits and pre-send checks. These safeguards help Customer but do not replace Customer's own compliance program and are not legal advice. GTM does not warrant that the safeguards will detect or prevent every non-compliant message or action. A message passing a GTM check is not necessarily lawful.
9.8 Postal address and sender information. Customer must provide an accurate, valid physical postal address and sender information, keep them current, and is responsible for including in its messages any postal address, sender identification, opt-out mechanism or disclosure that applicable law requires. The Services do not add these to messages.
10. Customer Data
10.1 Ownership. As between the parties, Customer owns Customer Data.
10.2 Licence to GTM. Customer grants GTM and its Affiliates and subprocessors a worldwide, non-exclusive, royalty-free licence during the Subscription Term (and afterward as Section 21 permits) to host, copy, transmit, process, display, adapt and use Customer Data to:
(a) provide, secure, support and maintain the Services;
(b) carry out Customer's instructions, including Automated Actions;
(c) prevent fraud, abuse and violations of these Terms;
(d) enforce platform-wide suppression and opt-out requests; and
(e) comply with law.
10.3 Processing terms. Where GTM processes Customer Personal Data on Customer's behalf, the DPA applies. If the DPA and this Section 10 conflict for Customer Personal Data, the DPA controls.
10.4 Platform-wide suppression. If an individual asks GTM directly, or asks any GTM customer through the Services, not to be contacted, or complains of abuse, GTM may add that individual's identifier to a suppression list that applies across all customers. GTM keeps the minimum data needed to honor the request and may retain these records after termination. Customer may not require GTM to delete a suppression record that GTM needs for this purpose.
10.5 Usage Data. GTM may collect and use Usage Data to operate, secure, support, analyze and improve the Services and to develop new services. GTM may disclose Usage Data only in aggregated or de-identified form that does not identify Customer, its Clients, Authorized Users or any individual. GTM owns Usage Data. Usage Data does not include message content or other data GTM receives from Google APIs or derives from it, including in aggregated or anonymized form, which GTM uses only as Section 16 of the Privacy Policy describes.
10.6 AI model training. GTM does not use Customer Data to train or fine-tune AI models that are made available to other customers, unless Customer agrees. GTM never uses data it receives from Google APIs, or derives from it, to develop, improve or train any AI or machine learning model.
10.7 Backups. Customer is responsible for keeping its own copies of Customer Data it needs. The Services are not a system of record or a backup service.
11. Intellectual property
11.1 GTM Technology. GTM and its licensors own all right, title and interest, including intellectual property rights, in and to the GTM Technology.
11.2 Outputs. As between the parties, and to the extent GTM has rights in them, GTM assigns to Customer its rights in Outputs generated for Customer. This does not transfer any rights in GTM Technology, in GTM Prospect Data, or in similar or identical Outputs generated for others. The AI Addendum explains the limits on Output ownership.
11.3 Know-how. GTM may create general know-how, templates, playbooks and benchmarks from its experience providing the Services, as long as they do not contain Customer Data or Customer's Confidential Information and do not identify Customer.
11.4 Trademarks. Each party keeps all rights in its names, logos and marks.
12. Feedback
If Customer or its Authorized Users give GTM suggestions, ideas, bug reports or other feedback, GTM may use it without restriction or payment. Feedback is not Customer's Confidential Information.
13. Third-party services and integrations
13.1 Customer's choice. The Services let Customer connect and use Third-Party Services. Customer's use of each Third-Party Service is governed by its own terms and privacy policy, which Customer must accept and follow. GTM is not a party to those terms.
13.2 Authorization. By connecting a Third-Party Service, Customer authorizes GTM to access, retrieve, send, create, update and delete data in that service as needed to provide the functionality Customer enables, and represents that it has the right to give that authorization.
13.3 No responsibility for Third-Party Services. GTM does not control, endorse or guarantee Third-Party Services and is not responsible for their availability, security, accuracy, pricing, changes, suspension or termination, or for any data they process. GTM does not guarantee that any integration will remain available.
13.4 Platform enforcement risk. Third-Party Services may limit, restrict, suspend, ban or terminate Connected Accounts, sending domains, phone numbers or profiles, including because they treat automated activity as a violation of their terms. Customer accepts this risk. Automated activity on LinkedIn and other networks may breach their terms whether or not Customer uses GTM's default limits. GTM does not represent that any Connected Account will remain in good standing, that any sending domain will keep its reputation, or that any message will be delivered. GTM is not liable for any restriction, lost access, lost connections, lost data, blocklisting or loss of deliverability.
13.5 Changes by providers. If a Third-Party Service changes or ends its API, pricing or terms in a way that affects the Services, GTM may modify, suspend or discontinue the affected functionality. If GTM discontinues a material integration that Customer paid for specifically under an Order, Customer's sole remedy is to terminate the affected Order and receive a pro rata refund of prepaid fees for that integration for the rest of the Subscription Term.
13.6 Domains and phone numbers. If GTM obtains a sending domain, phone number or similar resource for Customer, the terms shown in the Services or Documentation when it is provisioned apply. Customer is responsible for the lawful use of each such resource and for the accuracy of any registration information supplied to registries, registrars or carriers.
13.7 Passwords entered to connect an account. Where a Third-Party Service requires Customer to enter a password to connect, GTM passes it to the connection provider for that purpose only and does not store it.
14. APIs
14.1 API access. If GTM makes APIs, MCP servers, webhooks or command-line tools available, Customer may use them only as described in the Documentation and within GTM's rate limits.
14.2 API keys. API keys are Customer credentials under Section 4. Customer is responsible for all activity through its keys, including activity by tools or AI agents Customer connects to them.
14.3 API changes. GTM may change or deprecate APIs. GTM will use reasonable efforts to give 30 days' notice of breaking changes to generally available APIs, except where a change is needed for security, legal or third-party reasons.
14.4 API limits. GTM may throttle, suspend or revoke API access that exceeds limits, puts the Services at risk or breaches these Terms.
15. AI Features, automation and Outputs
15.1 AI Addendum. The AI Addendum applies to all AI Features and Automated Actions. If this Section and the AI Addendum conflict, the AI Addendum controls on AI and automation topics.
15.2 Probabilistic outputs. AI Features are probabilistic. Outputs may be inaccurate, incomplete, outdated, biased, offensive or fabricated, and may resemble content generated for others.
15.3 Review and human oversight. Customer must evaluate Outputs for accuracy and suitability before relying on them. Customer decides whether a campaign sends automatically or waits for review. If Customer chooses automatic sending, messages will be sent without per-message human review, and Customer is responsible for those messages as if it had reviewed and sent each one.
15.4 Automated Actions. Customer authorizes the Services to take Automated Actions according to its configuration. Customer is responsible for Automated Actions and their results, including messages sent, connection requests made, replies given, meetings booked or cancelled, and CRM records created, changed or deleted.
15.5 Not a decision maker. Outputs such as scores, intent signals, qualification decisions and reply classifications support Customer's judgment. They are not factual findings or professional advice, and Customer must not use them as the sole basis for decisions with legal or similarly significant effects on individuals.
15.6 Stopping automation. Customer can pause campaigns and disconnect Connected Accounts. Actions already queued with or submitted to a Third-Party Service may still complete after Customer pauses.
16. No guarantee of results
GTM does not promise or guarantee any business result from the Services, including any number or quality of leads, prospects, replies, connections, meetings, opportunities, pipeline, revenue, conversion rates, deliverability, inbox placement, open rates or return on investment. Results depend on factors outside GTM's control, including Customer's offer, targeting, reputation, configuration, market conditions, Third-Party Services and recipients' choices. Case studies, estimates, benchmarks and projections are illustrations, not commitments.
17. Communications
17.1 Electronic communications. Customer consents to receive communications from GTM electronically, including by email, in-product notices and posting on GTM's websites. Electronic communications satisfy any legal requirement that a communication be in writing.
17.2 Service and marketing messages. GTM may send Customer and its Authorized Users service, security, billing and legal messages, which cannot be opted out of while the account is active. GTM may send marketing messages where the law permits, and recipients can opt out of them using the link or instructions in each message.
17.3 Communications functionality. The Services let Customer send email, LinkedIn messages, connection requests, text messages and other communications. GTM provides the technology. Customer, not GTM, sends these communications. GTM does not review Customer's communications before they are sent except through automated checks, and has no duty to do so.
17.4 Text messaging. If Customer uses SMS or MMS features:
(a) Customer must obtain, and keep records of, any consent required by law before sending, including prior express written consent for marketing messages where required;
(b) Customer must not send unsolicited text messages;
(c) Customer must comply with quiet hours, opt-out, identification, registration and carrier content rules;
(d) text messages are sent through Customer's own account with a third-party messaging provider (such as Twilio, Telnyx or Plivo), which Customer connects to the Services. Customer's account with that provider is a Connected Account. Customer alone is responsible for that account, its phone numbers, its fees, and every registration, verification and approval that carriers or the provider require, including A2P 10DLC brand and campaign registration and toll-free verification. GTM does not register, verify, buy or vouch for any number or sender;
(e) Customer is solely responsible for the lawfulness of every text message sent through the Services, including under the Telephone Consumer Protection Act, state telemarketing laws, CTIA guidance and carrier policies. GTM is not liable for non-compliant messaging or for any fine, penalty, carrier or provider fee, suspension, claim or damages arising from it, and these are Claims that Customer will defend and indemnify GTM against under Section 24; and
(f) GTM, Customer's messaging provider and carriers may block, filter or refuse messages and suspend numbers, and GTM may disable text messaging features at any time.
17.5 Text messages from TryGTM. Separately from any messages Customer sends under Section 17.4, GTM sends its own text messages, under the program name TryGTM, only to people who opt in by checking an optional, unchecked box on a TryGTM form. Those messages cover what the form describes: waitlist, launch, account, onboarding, support and product updates. Message frequency may vary. Message and data rates may apply. Recipients can reply HELP for help or STOP to opt out at any time. Consent to receive text messages is not a condition of purchase. No mobile information is shared with third parties or affiliates for marketing or promotional purposes. Carriers are not liable for delayed or undelivered messages. The SMS Terms govern this program in full and apply to everyone who opts in, whether or not they are a Customer.
18. Fees, billing and subscriptions
18.1 Fees. Customer will pay the fees in its Order and on GTM's pricing page at the time of purchase ("Fees"). Unless an Order says otherwise, Fees are in US dollars and are non-cancellable and non-refundable except as Section 18.11 states. The Fees for a billing period are earned in full when GTM charges them.
18.2 Billing. For self-serve purchases, Customer authorizes GTM and its payment processor to charge Customer's payment method for all Fees when due, including recurring subscription Fees, add-ons and Credit purchases, without further authorization. Customer must keep a valid payment method on file. Invoiced customers must pay within 30 days of the invoice date.
18.3 Work begins immediately after payment. The Services start metered work immediately after Customer's first payment succeeds, as soon as the brief setup that follows is complete, and continue it through each billing period without any further approval by Customer for each action. That work includes building Customer's ideal customer profile, sourcing and enriching prospects, verifying contact details and drafting messages under Customer's configuration. It consumes Credits from Customer's allowance and causes GTM to incur costs with third-party data, enrichment, verification and AI model providers that GTM cannot recover. Those costs are commonly between US$100 and US$200 in the first hours after purchase, and may be higher on the Agency plan or where Customer enables more automation. Customer expressly requests that GTM begin this work immediately after payment, acknowledges that GTM does so in reliance on Customer's payment and on this Section 18.3, and agrees that:
(a) the Fees for the billing period are fully earned when that work begins;
(b) Credits consumed and costs incurred cannot be reversed, returned or refunded, whether or not Customer later uses, reviews, exports or is satisfied with the results, and whether or not Customer cancels, stops using the Services or never returns to its account;
(c) GTM's Credit ledgers, logs and audit records of the Credits consumed, prospects sourced, messages drafted and costs incurred are conclusive evidence that the Services were provided, absent manifest error; and
(d) to the fullest extent the law permits, Customer waives any right to withdraw from, cancel or rescind its purchase for a refund on the ground that the Services were not used, were used only briefly, or produced results Customer did not want.
18.4 Subscription term and automatic renewal. Subscriptions start on the purchase date and run for the monthly or annual period Customer selects. Unless Customer cancels before the end of the current period, each subscription automatically renews for another period of the same length, and GTM will charge the then-current Fees to Customer's payment method.
18.5 Cancellation. Customer may cancel a subscription at any time from the Billing settings in the Services or by written notice to GTM. Cancellation takes effect at the end of the current paid period, and Customer keeps access until then. Cancellation stops the next renewal charge. It does not entitle Customer to a refund, credit or proration for the current period, for unused time, or for Credits consumed or unused, and it does not reverse the work described in Section 18.3.
18.6 Credits and usage-based charges. Plans include an allowance of Credits for each billing period. Metered features consume Credits at the rates shown on the pricing page or in the Services. Unless the Order says otherwise:
(a) included Credits reset at the start of each billing period, and unused included Credits do not roll over;
(b) one-off Credit top-ups expire at the end of the billing period in which they were bought;
(c) Credits have no cash value, are not refundable, and cannot be transferred or exchanged; and
(d) when the required Credit balance is exhausted, metered features pause until Customer buys more Credits or the next period begins.
GTM does not charge automatic overage. GTM's metering records determine usage, absent manifest error.
18.7 Upgrades and downgrades. Upgrades take effect immediately, and GTM may charge a prorated amount for the rest of the current period. Downgrades take effect at the start of the next billing period. Downgrading may reduce features, limits, seats, Client Workspaces or Credits, and may cause loss of data or configuration tied to them. Customer is responsible for exporting that data first.
18.8 Taxes. Fees exclude taxes. Customer will pay all sales, use, value-added, goods and services, withholding and similar taxes related to its purchases, except taxes on GTM's net income. If Customer claims an exemption, it must provide a valid exemption certificate. If withholding is required by law, Customer will increase the payment so GTM receives the full amount invoiced.
18.9 Late payments. If a charge fails or an invoice is unpaid when due, GTM may:
(a) retry the charge;
(b) charge interest on overdue amounts at the lesser of 1% per month and the highest lawful rate;
(c) pause metered features and Automated Actions;
(d) suspend the Services under Section 20 after giving at least 10 days' notice; and
(e) recover reasonable collection costs, including attorneys' fees.
Customer must raise any good-faith billing dispute in writing within 60 days of the charge. GTM will not suspend for amounts under good-faith dispute while the parties work to resolve it.
18.10 Chargebacks and payment disputes. Customer agrees that every charge GTM bills in accordance with these Terms is authorized, and that GTM has performed when it begins the work described in Section 18.3 or makes the Services available for the period charged. Customer will raise any billing concern with GTM under Section 18.9 before contacting its card issuer, bank or payment processor, and will not dispute, reverse or charge back a properly billed charge. If Customer initiates a chargeback or payment dispute for a properly billed charge:
(a) it is a material breach of these Terms;
(b) GTM may immediately suspend Customer's account and all Automated Actions under Section 20, and may terminate under Section 21.3, without further notice;
(c) Customer remains liable for the full disputed amount, plus any dispute or chargeback fees the payment processor charges GTM, interest under Section 18.9, and GTM's reasonable costs of responding to the dispute and of collection, including attorneys' fees;
(d) Customer authorizes GTM to charge those amounts to any payment method on file, and GTM may recover them by any other lawful means; and
(e) Customer authorizes GTM to give its payment processor, the card networks and Customer's card issuer the evidence needed to respond, including Customer's acceptance of these Terms, checkout records, network addresses and device information, account activity, Credit ledgers, prospects sourced, messages drafted and sent, and correspondence.
A dispute filed on a ground that GTM's records contradict, such as "services not received", "cancelled" or "unauthorized" for a purchase made from Customer's own account, is unwarranted. GTM may reinstate the Services once the disputed amount and any fees are paid.
18.11 Refunds. Fees and Credits are non-refundable, and GTM gives no refund, credit or proration for partial billing periods, unused time, unused or expired Credits, downgrades, or features Customer did not use. Dissatisfaction with results, including the number or quality of prospects, replies or meetings, is not a ground for a refund; see Section 16. The only exceptions are:
(a) where GTM terminates these Terms for convenience under Section 21.2;
(b) where Customer terminates for GTM's uncured material breach under Section 21.3;
(c) as Sections 13.5 or 22.2 provide; or
(d) where applicable law requires a refund and does not allow Customer to waive it.
In cases (a) and (b), GTM will refund prepaid unused subscription Fees for the rest of the Subscription Term, pro rata by day from the termination date. No refund covers Credits consumed or costs GTM has incurred under Section 18.3.
18.12 Free trials and evaluations. If GTM offers a free trial, evaluation or free plan, it lasts for the period GTM specifies, and GTM may end it at any time. If a trial converts to a paid subscription, GTM will say so at sign-up, and Customer will be charged at the end of the trial unless it cancels first. Free and trial Services are provided "AS IS" without any warranty or indemnity, and to the extent the law permits, GTM has no liability for them. Data in a trial account may be deleted when the trial ends.
18.13 Promotional credits. Promotional, referral or goodwill Credits have no cash value, expire on the date GTM states (or 90 days after issue if none is stated), may be limited to certain features, and may be revoked if obtained through fraud, abuse or breach of these Terms or a partner program's terms.
18.14 Price changes. GTM may change Fees and Credit rates. Changes apply from the next renewal or purchase after GTM gives at least 30 days' notice, and never to a period Customer has already paid for. If Customer does not agree, it may cancel before the change takes effect. Prices under a signed Order are fixed for that Order's Subscription Term unless the Order says otherwise.
19. Confidentiality
19.1 Definition. "Confidential Information" means non-public information that one party ("Discloser") discloses to the other ("Recipient") in connection with these Terms that is marked confidential or that a reasonable person would understand to be confidential. Customer's Confidential Information includes Customer Data. GTM's Confidential Information includes the non-public parts of the GTM Technology, pricing in an Order, security documentation and the terms of any negotiated agreement.
19.2 Exclusions. Confidential Information does not include information that the Recipient can show:
(a) is or becomes public without the Recipient's breach;
(b) the Recipient knew without restriction before receiving it;
(c) the Recipient received from a third party without a duty of confidentiality; or
(d) the Recipient developed independently without using the Discloser's Confidential Information.
19.3 Obligations. The Recipient will:
(a) use Confidential Information only to perform or exercise rights under these Terms;
(b) not disclose it except to its and its Affiliates' employees, contractors, advisers, subprocessors and potential acquirers or investors who need to know it and are bound by confidentiality duties at least as protective as these; and
(c) protect it with at least reasonable care.
19.4 Required disclosure. The Recipient may disclose Confidential Information when legally required, if it gives the Discloser prompt notice (where lawful) and reasonable help, at the Discloser's cost, to seek a protective order.
19.5 Duration. These duties last during the Subscription Term and for 3 years after, and for trade secrets, for as long as they remain trade secrets.
20. Suspension
20.1 Grounds. GTM may suspend or limit all or part of Customer's access to the Services, including specific campaigns, Connected Accounts, channels, users or API keys, if GTM reasonably believes that:
(a) Customer's use breaches Section 8, Section 9, the AUP or the AI Addendum;
(b) Customer's use poses a security risk, may harm the Services, GTM, other customers, recipients or Third-Party Services, or may expose GTM to liability;
(c) Customer's sending generates complaint, bounce, block, spam-trap or opt-out rates that threaten deliverability, sender reputation or GTM's relationships with providers;
(d) a Third-Party Service, carrier or regulator requires it;
(e) payment is overdue as Section 18.9 describes; or
(f) suspension is required by law.
20.2 Scope and notice. GTM will limit a suspension to what is reasonably needed and will give notice before suspending where practical. Where GTM reasonably believes immediate action is needed, it may suspend first and notify afterward. GTM will restore access when the cause is resolved.
20.3 Effect. Fees continue during a suspension caused by Customer. GTM is not liable for any loss caused by a suspension under this Section 20.
21. Term and termination
21.1 Term. These Terms start when Customer accepts them and continue until all Subscription Terms have ended or these Terms are terminated.
21.2 Termination for convenience. Customer may terminate these Terms at any time by cancelling all subscriptions and closing its account, with effect as Section 18.5 describes. GTM may terminate these Terms for convenience on at least 30 days' notice and will refund prepaid unused subscription Fees.
21.3 Termination for cause. Either party may terminate these Terms on written notice if the other party:
(a) materially breaches them and does not cure the breach within 30 days after notice (10 days for non-payment); or
(b) becomes insolvent, makes an assignment for the benefit of creditors, or becomes subject to bankruptcy or similar proceedings not dismissed within 60 days.
GTM may terminate immediately on notice if Customer breaches Section 8, the AUP or the AI Addendum in a way GTM reasonably considers serious, repeated or incapable of cure, including phishing, malware, impersonation, fraud, harassment or unlawful messaging.
21.4 Effect of termination. When these Terms or a subscription end:
(a) Customer's access to the affected Services ends, and all Automated Actions stop;
(b) Customer must pay all unpaid Fees accrued through the end date, and if GTM terminates for Customer's breach, all Fees for the rest of the Subscription Term become due;
(c) Customer must stop using GTM Prospect Data, except for records Customer has already lawfully used for outreach and added to its own CRM, which Customer may keep for its internal business purposes subject to Data Protection Laws, the restrictions in Section 7.2, and any deletion or suppression request; and
(d) each party must return or destroy the other's Confidential Information on request, except as Section 21.5 allows.
21.5 Data export and deletion. For 30 days after termination or expiration (the "Export Window"), Customer may export Customer Data using the Services' export features, unless the account was terminated for Customer's breach. After the Export Window, GTM will delete Customer Data within 90 days, except:
(a) copies in backups, which are deleted as backups expire in the ordinary course;
(b) suppression and opt-out records under Section 10.4;
(c) data GTM must keep by law or for a legal hold; and
(d) billing and transaction records.
Retained data remains subject to the confidentiality terms of these Terms and the DPA.
21.6 Survival. Sections 2, 7.3, 8, 9, 10.4, 10.5, 11, 12, 16, 18 (including Sections 18.3, 18.10 and 18.11), 19, 20.3, 21.4 to 21.6, and 22 to 27, and any other provision that by its nature should survive, survive termination.
22. Beta features and changes to the Services
22.1 Beta Features. GTM may offer features labelled alpha, beta, preview, experimental, early access or similar ("Beta Features"). Beta Features are optional, may be incomplete, unstable or insecure, may be changed or withdrawn at any time, are excluded from support commitments and indemnities, and are provided "AS IS". To the extent the law permits, GTM's total liability arising from Beta Features is US$100. Customer should not use Beta Features with sensitive data or for critical workflows. Information about unreleased Beta Features is GTM's Confidential Information.
22.2 Changes to the Services. GTM continuously changes the Services and may add, change or remove features, AI models, integrations and Third-Party Services. GTM will not make a change during a paid Subscription Term that materially reduces the core functionality Customer has paid for, unless the change is required by law, security or a Third-Party Service. If it does so, Customer may terminate the affected subscription within 30 days of notice and receive a pro rata refund of prepaid unused Fees.
23. Availability, maintenance and outages
23.1 Availability. GTM will use commercially reasonable efforts to make the Services available, except for maintenance and events outside its reasonable control. These Terms do not include an uptime commitment or service credits. Service-level commitments apply only under a signed service level agreement.
23.2 Maintenance. GTM may perform scheduled and emergency maintenance. GTM will try to schedule planned maintenance that is likely to cause significant downtime outside normal US business hours and to post notice at status.trygtm.com where practical.
23.3 Third-party outages. The Services depend on hosting, database, email, messaging, AI model, data, payment and other providers. GTM is not responsible for outages, delays, errors, data loss or changes caused by those providers, by the internet, or by Customer's systems or Connected Accounts. Scheduled Automated Actions may be delayed, skipped or retried after such events, and GTM does not guarantee that any Automated Action runs at a particular time.
24. Disclaimers, liability and indemnity
Disclaimers
24.1 No professional advice. The Services, Outputs, Documentation, in-product guidance, compliance checks and GTM's support do not provide legal, compliance, tax, financial or other professional advice.
24.2 Warranty disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES, GTM TECHNOLOGY, GTM PROSPECT DATA, OUTPUTS, BETA FEATURES AND THIRD-PARTY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GTM AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. GTM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE; THAT GTM PROSPECT DATA OR OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, NON-INFRINGING OR LAWFUL TO USE FOR ANY PURPOSE; THAT MESSAGES WILL BE DELIVERED; THAT CONNECTED ACCOUNTS WILL NOT BE RESTRICTED; OR THAT CUSTOMER'S USE WILL COMPLY WITH COMMUNICATIONS LAWS.
24.3 Limited warranty for paid Services. For paid Services, GTM warrants that during the Subscription Term the Services will perform materially as described in the Documentation. If they do not, Customer must notify GTM within 30 days of the non-conformity, and GTM will use commercially reasonable efforts to correct it. If GTM cannot do so within a reasonable time, either party may terminate the affected subscription, and GTM will refund prepaid unused Fees for it. This is Customer's sole and exclusive remedy for breach of this warranty. The warranty does not cover Beta Features, free Services, Outputs, GTM Prospect Data, Third-Party Services, or issues caused by misuse, modification or Customer's configuration.
Limitation of liability
24.4 Exclusion of certain damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE UNDER OR IN CONNECTION WITH THESE TERMS FOR ANY (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES; (B) LOST PROFITS, REVENUE, SALES, BUSINESS, OPPORTUNITIES OR GOODWILL; (C) LOSS OR CORRUPTION OF DATA, OR COST OF DATA RECONSTRUCTION; (D) LOSS OF OR RESTRICTION ON ANY CONNECTED ACCOUNT, SENDER REPUTATION OR DOMAIN; OR (E) COST OF SUBSTITUTE GOODS OR SERVICES; IN EACH CASE HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY.
24.5 Liability cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID AND PAYABLE BY CUSTOMER TO GTM UNDER THESE TERMS IN THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY.
24.6 Exceptions. Sections 24.4 and 24.5 do not limit:
(a) Customer's payment obligations;
(b) Customer's obligations under Section 24.8;
(c) Customer's liability for breach of Section 8, Section 9 or the AUP;
(d) either party's infringement or misappropriation of the other party's intellectual property rights; or
(e) liability that cannot be limited by law, including for fraud.
24.7 Allocation of risk. The Fees reflect this allocation of risk. These limits apply even if a remedy fails of its essential purpose.
Indemnification
24.8 By Customer. Customer will defend GTM, its Affiliates, and their officers, directors, employees, contractors and agents (the "GTM Parties") against any claim, demand, suit, investigation or proceeding by a third party, including a regulator, recipient, platform or carrier (a "Claim"), arising from or related to:
(a) Customer Data, including any lead list Customer uploads;
(b) messages, outreach and Automated Actions sent or taken through Customer's account, Client Workspaces or Connected Accounts;
(c) Customer's, its Authorized Users' or its Clients' breach of these Terms, the AUP, the AI Addendum or Communications Laws;
(d) Customer's use of Outputs or GTM Prospect Data;
(e) Customer's Clients; or
(f) Customer's use of Third-Party Services.
Customer will pay all damages, fines, penalties, settlements, costs and reasonable attorneys' fees finally awarded against the GTM Parties, or agreed in a settlement by Customer, in connection with a Claim, and GTM's reasonable costs of responding to any regulatory inquiry about Customer's activity.
24.9 By GTM. GTM will defend Customer against any Claim alleging that the Services, as provided by GTM and used by Customer in accordance with these Terms, infringe a third party's US patent, copyright or trademark or misappropriate its trade secret, and will pay damages and costs finally awarded against Customer or agreed in a settlement by GTM. GTM has no obligation for Claims arising from Customer Data, Outputs, GTM Prospect Data, Third-Party Services, Beta Features or free Services, modifications not made by GTM, combination with items not provided by GTM, use not in accordance with these Terms or the Documentation, or continued use after GTM provides a non-infringing alternative. If the Services are or may be subject to such a Claim, GTM may obtain the right for Customer to continue using them, modify them to be non-infringing, or, if neither is commercially reasonable, terminate the affected Services and refund prepaid unused Fees. This Section states GTM's entire liability, and Customer's exclusive remedy, for infringement Claims.
24.10 Procedure. The indemnified party must:
(a) give the indemnifying party prompt written notice of the Claim (a delay relieves the indemnifying party of its obligations only to the extent it is prejudiced);
(b) give the indemnifying party sole control of the defense and settlement, except that the indemnifying party may not settle a Claim in a way that imposes non-monetary obligations on, or admits fault by, the indemnified party without its consent, which may not be unreasonably withheld; and
(c) provide reasonable cooperation at the indemnifying party's cost.
The indemnified party may take part with its own counsel at its own cost.
25. Governing law and dispute resolution
25.1 Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.
25.2 Informal resolution. Before starting arbitration or court proceedings, a party must send the other a written notice describing the dispute and the relief sought, and the parties must try in good faith to resolve it for 30 days. Notices to GTM go to the addresses in Section 27.
25.3 Binding arbitration. Except as Section 25.5 provides, any dispute, claim or controversy arising out of or relating to these Terms or the Services (a "Dispute") will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules then in effect, before a single arbitrator. The seat of arbitration is Wilmington, Delaware, and hearings may be held by video. The arbitrator may award any relief available in court, subject to Section 24. The arbitrator decides questions of arbitrability, except that a court decides questions about Section 25.4. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this Section 25.3. Each party bears its own attorneys' fees unless the arbitrator awards them under law or these Terms. The arbitration and its results are confidential except as needed to enforce the award or as the law requires.
25.4 Class action and jury waiver. EACH PARTY MAY BRING DISPUTES ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE CUSTOMER. TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT, EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL. If this Section 25.4 is found unenforceable for a Dispute, that Dispute must proceed in court under Section 25.6 and not in arbitration.
25.5 Exceptions. Either party may:
(a) bring an individual action in small-claims court;
(b) seek temporary, preliminary or permanent injunctive or other equitable relief in court to protect its intellectual property, Confidential Information or the security of the Services, or to stop a breach of Section 8 or the AUP; and
(c) bring an action in court to collect unpaid Fees.
25.6 Venue. Any court proceeding permitted by these Terms must be brought exclusively in the state or federal courts located in the State of Delaware, and each party consents to their personal jurisdiction and venue.
25.7 Time limit. To the extent the law permits, any Dispute must be started within 2 years after the claim arose.
26. Export controls and sanctions
26.1 Customer will comply with all applicable export control and sanctions laws, including the US Export Administration Regulations and the regulations administered by the US Treasury Department's Office of Foreign Assets Control. Customer will not access, use, export or re-export the Services (a) to or from a comprehensively sanctioned country or region, (b) for or on behalf of a restricted or sanctioned party, or (c) for any prohibited end use.
26.2 GTM may suspend or terminate access immediately if it reasonably believes Customer has breached this Section 26.
27. General
27.1 Assignment. Customer may not assign or transfer these Terms without GTM's prior written consent. GTM may assign these Terms without consent to an Affiliate or in connection with a merger, acquisition, corporate reorganization or sale of all or substantially all of its assets or of the business to which these Terms relate. Any attempted assignment in breach of this Section is void.
27.2 Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, labor disputes (other than of the party's own workforce), government action, failures of the internet, utilities, hosting, AI model, telecommunications or other third-party providers, platform or carrier enforcement actions, and cyberattacks that reasonable security measures could not prevent.
27.3 Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the rest of these Terms will remain in effect.
27.4 Waiver. A failure or delay in enforcing any provision is not a waiver. A waiver must be in writing.
27.5 Entire agreement. These Terms, including the documents incorporated by Section 1.3 and any Order, are the entire agreement between the parties about their subject matter and supersede all prior and contemporaneous agreements, proposals and representations about it. Terms in any Customer purchase order, vendor portal, invoice or other Customer document do not apply, even if GTM accepts or signs it.
27.6 Order of precedence. If there is a conflict, the following order applies, from highest to lowest:
(a) an Order, but only for terms that the Order expressly says override a named section of these Terms, and only for that Order;
(b) the DPA, for the processing of Customer Personal Data;
(c) the AI Addendum, for AI Features and Automated Actions;
(d) these Terms;
(e) the AUP; and
(f) the Documentation.
27.7 Changes to these Terms. GTM may update these Terms. GTM will post the updated Terms with a new date and, for material changes, will notify Customer by email or in the Services at least 30 days before they take effect. Changes needed for legal compliance or security, or that reflect new features, may take effect sooner. Material changes that are adverse to Customer will not apply to a Subscription Term already paid for until the next renewal, unless Customer agrees or the law requires the change. Continued use after a change takes effect is acceptance. If Customer does not agree, it must cancel before the change applies. Changes to a signed Order require a written amendment signed by both parties.
27.8 Notices. GTM may give notices to the email address on Customer's account or through the Services. Notices to GTM must be sent to support@trygtm.com with the subject line "Legal notice", with a copy by mail or courier to the address in this Section. Notices are effective on receipt, and email notices are received when sent unless the sender receives a delivery failure.
27.9 Independent contractors. The parties are independent contractors. These Terms create no partnership, franchise, joint venture, agency, fiduciary or employment relationship. GTM is not Customer's agent for sending messages, even though it transmits them at Customer's instruction.
27.10 No third-party beneficiaries. These Terms benefit only the parties, except that the GTM Parties may enforce Section 24.8.
27.11 Government users. The Services are "commercial products" and "commercial computer software" provided to US government users with only the rights these Terms grant to all customers, consistent with FAR 12.212 and DFARS 227.7202.
27.12 Publicity. GTM may identify Customer by name and logo as a customer on its websites and in marketing materials unless Customer opts out by emailing support@trygtm.com.
27.13 Interpretation. These Terms are written in English, and any translation is for convenience only. Headings are for convenience only. "Including" means "including without limitation". "Days" means calendar days.
