Effective date: September 17, 2026
This AI & Automation Addendum ("AI Addendum") forms part of the Terms of Service or any Master Services Agreement (the "Agreement") between J&T Solutions Inc., doing business as GTM ("GTM"), and the customer ("Customer"). It applies whenever Customer uses AI Features or Automated Actions. Terms not defined here have the meanings in the Agreement.
Under the Terms of Service, if this AI Addendum conflicts with the Terms on a topic this AI Addendum covers, this AI Addendum controls. Under a Master Services Agreement, that agreement's order-of-precedence clause governs. In either case, the Data Processing Addendum controls for the processing of Customer Personal Data, and the Agreement's limitation of liability always applies.
1. What this covers
GTM uses AI and automation throughout the Services, for example:
- Research and sourcing. Building an ideal customer profile from a website, finding businesses and people who match it, and researching them.
- Qualification and scoring. Judging fit and intent, and choosing who to contact and when.
- Writing. Drafting emails, LinkedIn messages, follow-ups and replies.
- Reply handling. Classifying replies, detecting opt-outs, answering questions and proposing meetings.
- Agents and assistants. In-app assistants and agents that answer questions, use tools and change data, and tools available through GTM's APIs and MCP server.
- Automated Actions. Sending messages, connection requests and follow-ups, booking meetings, and creating and updating CRM records.
Some of these run on a schedule with no person involved at the time. Customer chooses how much runs automatically.
2. The nature of AI
2.1 Probabilistic. AI Features produce outputs by predicting likely content. The same input can produce different outputs, and outputs are not retrieved facts.
2.2 Errors. Outputs may be wrong, incomplete, out of date or invented, even when they sound confident. For example, an Output may state false facts about a prospect or company, misstate Customer's own products, prices, customers or results, misread a reply (including an opt-out, an objection or a sensitive situation), score a prospect wrongly, use a tone or claim Customer would not approve, resemble content generated for others, or reflect biases in the data the model learned from.
2.3 Adversarial content. Websites, profiles, emails and replies that AI Features read may contain instructions meant to manipulate AI systems. GTM takes steps to reduce this risk but cannot eliminate it.
2.4 No reliance. Customer must not rely on Outputs as the sole basis for a decision without appropriate review. Outputs are not legal, compliance, financial or other professional advice.
3. Customer's responsibilities
3.1 Review. Customer is responsible for reviewing Outputs to the extent appropriate for how it uses them. GTM provides previews, campaign-level review settings and activity records so Customer can do so.
3.2 Choosing automation. The Services let Customer choose whether a campaign waits for a person to approve messages or sends automatically. If Customer turns on automatic sending or any other Automated Action, Customer instructs GTM to act without per-action human review, accepts the risk of errors in that mode, and is responsible for each resulting action as if Customer had reviewed and approved it. Approving a preview or sample does not mean every later message will be similar.
3.3 Configuration. Customer is responsible for its configuration, including target audience and exclusions, offer, claims and tone, channels, Connected Accounts, volume, ramp and schedule, reply-handling instructions, booking rules, CRM mappings and write permissions, permissions granted to agents and API keys, and budget and Credit settings. GTM's defaults are starting points, not advice that they suit Customer's situation.
3.4 Truthful claims. Customer must give accurate information about its business and offer, must not instruct AI Features to make claims it cannot substantiate, and must correct inaccurate Outputs it becomes aware of.
3.5 Monitoring. Customer must monitor its campaigns at reasonable intervals and pause them if they behave unexpectedly. Pausing stops new Automated Actions, but actions already in progress or submitted to a Third-Party Service may still complete.
3.6 Compliance and disclosure. Customer is responsible for ensuring its use of AI Features and Automated Actions complies with Communications Laws, Data Protection Laws and any law on AI, automated decisions or bots that applies to Customer. That includes deciding whether to tell recipients that messages or replies are generated or sent by automated means, and making any disclosure the law requires.
3.7 Agents and tools. If Customer connects AI Features to tools, APIs or external agents, or connects external AI agents to GTM, Customer is responsible for the permissions it grants and the actions those agents take.
4. Inputs and Outputs
4.1 Inputs. "Inputs" means content Customer or its Authorized Users provide to AI Features, including prompts, files, instructions, website addresses, lists and Connected Account data. Customer represents and warrants that it has all rights, consents and notices needed to provide Inputs and to allow GTM and its AI Providers to process them as this AI Addendum describes, and that Inputs do not violate law, third-party rights or the Acceptable Use Policy.
4.2 Ownership of Outputs. As between the parties, and to the extent GTM has rights in them, Customer owns Outputs generated for it, as the Agreement provides. However:
(a) Outputs may not be protected by copyright or other intellectual property rights in some jurisdictions;
(b) other customers may receive similar or identical Outputs, and Customer has no rights against them or GTM for that;
(c) GTM keeps all rights in GTM Technology, including the prompts, templates, workflows and models used to generate Outputs; and
(d) Outputs that contain GTM Prospect Data remain subject to the Agreement's restrictions on that data.
4.3 No infringement warranty. GTM does not warrant that Outputs are original, non-infringing or free of third-party material. GTM's infringement indemnity does not cover Outputs unless the Agreement expressly says otherwise.
4.4 Confidential and restricted information. Customer should not include in Inputs any information it is not permitted to share with GTM and its AI Providers, such as third-party confidential information or regulated data.
4.5 Personal information. Inputs, and the context GTM supplies to AI Providers, may include personal information such as prospect names, profiles, messages and replies. GTM processes it under the Data Processing Addendum and the Privacy Policy. Customer must not submit special categories of personal data or other sensitive data to AI Features.
5. AI Providers and models
5.1 Third-party models. GTM uses third-party model providers and model-routing services ("AI Providers") to run AI Features. AI Providers that process Customer Personal Data are listed on the Subprocessors page.
5.2 Dependencies. AI Features depend on AI Providers' availability, capacity, pricing and terms. GTM is not responsible for AI Provider outages, rate limits, degradations, refusals, content filtering or errors.
5.3 Model changes. GTM may change, add, remove or route between models and AI Providers at any time, including to improve quality, cost, speed or safety, or because a model is retired. Model changes may change Outputs. GTM will make these changes consistently with the Data Processing Addendum.
5.4 Provider policies. Customer must comply with the usage policies of AI Providers that GTM makes available or references in the Documentation.
5.5 Feature changes. GTM may modify, limit, suspend or discontinue AI Features, including by changing their behavior, safeguards, limits or Credit costs, subject to the Agreement's terms on changes to the Services and pricing.
6. Data use and training
6.1 GTM's commitment. GTM does not use Customer's Inputs, Outputs or Customer Data to train or fine-tune AI models made available to other customers, unless Customer agrees.
6.2 AI Providers. GTM routes in-product model requests through a routing provider configured to exclude model providers that use request data for training. AI Providers may keep Inputs and Outputs for a limited period for abuse monitoring or as their terms otherwise require.
6.3 What GTM does use. GTM may use:
(a) Usage Data, including AI Feature usage, error rates and ratings Customer gives, to operate and improve the Services;
(b) Customer Data within Customer's own account to tailor results for Customer, for example by learning Customer's writing style or which prospects respond; and
(c) Inputs and Outputs to investigate abuse, security incidents and support requests, and to comply with law.
6.4 Changes. GTM will describe material changes to its AI data practices in this AI Addendum and in the Privacy Policy before they take effect, and will not start using Customer Data to train models made available to other customers without Customer's agreement.
7. Prohibited and high-risk uses
In addition to the Acceptable Use Policy, Customer must not use AI Features or Automated Actions:
(a) to make or significantly support decisions about any individual's employment, compensation, credit, insurance, housing, education, healthcare, legal rights or access to essential services;
(b) in any way that would make GTM or Customer a provider or deployer of a high-risk AI system under the EU AI Act, or subject to impact-assessment, pre-use notice or opt-out obligations under AI or automated-decision laws, without GTM's prior written agreement;
(c) to target or exclude individuals based on sensitive characteristics, or to infer those characteristics;
(d) to generate content that impersonates a real person or fakes endorsements or testimonials;
(e) to deny being automated or AI-generated when a recipient sincerely asks and the law requires disclosure;
(f) for political campaigning, lobbying or election content;
(g) to generate or send content that is unlawful, deceptive, harassing or discriminatory; or
(h) to extract, reproduce or reverse engineer GTM's prompts, system instructions, models or scoring logic, or to build a competing product.
8. No guarantee of results
GTM does not guarantee that AI Features or Automated Actions will produce any result, including any number or quality of leads, qualified prospects, replies, positive replies, connections, meetings, attended meetings, opportunities, pipeline, revenue, conversion rates, deliverability or return on investment. Scores, intent signals, forecasts and estimates are not predictions Customer can rely on. Examples, demos, case studies and benchmarks show what is possible, not what Customer will get.
9. Safeguards
The Services include safeguards such as suppression checks, opt-out detection that runs before AI classification, stopping sequences when a contact replies, sending limits and ramps, and pre-send checks. These safeguards reduce risk. They do not guarantee that errors will not happen, and they do not move responsibility for compliance from Customer to GTM. GTM may add, change or tighten safeguards at any time, including in ways that reduce sending volume or pause campaigns.
10. Liability
All AI Features and Automated Actions are subject to the disclaimers, limitations of liability and indemnities in the Agreement. To the extent the law permits, GTM is not liable for loss arising from:
(a) Customer's reliance on Outputs;
(b) Automated Actions taken in accordance with Customer's configuration;
(c) actions of AI agents or tools that Customer connected or authorized;
(d) AI Provider failures or changes; or
(e) inaccurate GTM Prospect Data used by AI Features,
except to the extent the loss results directly from GTM's breach of the Agreement.
11. Changes
GTM may update this AI Addendum as AI technology, law and the Services change. GTM will post updates with a new date and give notice of material changes as the Agreement provides. Changes that reduce GTM's commitments in Section 6 will not apply to Customer until its next renewal unless Customer agrees.
